July 13 Webinar – Artificial Intelligence Contracts: Drafting and Negotiating
Artificial intelligence is software – delivered via the cloud, like SaaS, or as an on-premise system. So most of its terms should be familiar to experienced tech contracts drafters. However, the most sophisticated forms –generative AI like ChatGPT – have features unlike any other software. We’ll look at those differences and the new terms they require. And we’ll look at commonalities with traditional software deals, so we can ground ourselves in the familiar.
Topics covered include:
- Rights to training data, prompts, and outputs
- Special IP risks and their impact on indemnities, warranties, and more
- Privacy compliance terms
- Terms on hallucination, defamation, and other third party risks
- AI’s role as SaaS … or not
- And more …
- Top 6 Mistakes in SaaS and Cloud Services Agreements (September 12)
- Key Liability Terms in Tech Contracts: Warranty, Indemnity, Limit of Liability, and More (October 12)
- AI in the Legal Profession (November 16)
- Payment Terms in IT Contracts: Get Paid, Don’t Overpay, and Avoid Common Mistakes (February 13, 2024)
- Top 7 Worries for Vendors in IT Contracts: Getting the Terms You Need, Even From Big Customers (March 12, 2024)

Fall Tech Contracts Master Class Series
Taken together, our four Tech Contracts Master Classes will prepare you to negotiate contracts about software, cloud services, and professional services more confidently and efficiently, and help you avoid common pitfalls.
This fall, choose one of two series (four classes each): Sept. 7-28; or Nov. 7-Dec. 5 (one class per week except no class Thanksgiving week). Conveniently available via distance learning (and with recordings available afterward), each class is two hours, and includes Q&A.
Most students choose to take all four classes (with an automatic series discount). But classes are also available to purchase individually.
Prime Clauses (Sept. 7/Nov. 7): A contract’s central promise and transaction. The promise of cloud services; license to on-premise software; promise of professional services. Frequently, contracts have a combination. And … the promise to pay.
General Clauses (Sept. 14/Nov. 14): Commercial clauses (such as technical specifications, SLAs, business continuity and disaster recovery, non-disclosure) and data clauses (including location, security, incidents, privacy, audits).
Key Liability Terms (Sept. 21/Nov. 28): Warranties, indemnities, limits of liability, provider liability for 3rd parties, and liquidated damages.
End-Game & Special Clauses (Sept. 28/Dec. 5): Term & termination; transition and deconversion; non-solicits and noncompetes; dispute management, mediation, arbitration, waiver of class actions, jury trials; ancillary IP terms; assignment, change of control, divestiture; choice of law and courts; order of precedence; amendment; open source software.
