Provider grants Distributor an exclusive license to distribute the Licensed Product during the Term in __________ (the “Territory”). The rights granted in the preceding sentence are nontransferable, except that Distributor may sublicense such rights to any sub-distributor approved in writing by Provider.

Provider authorizes Reseller to provide Software access to Reseller’s end customers as software-as-a-service during the Term, and Provider hereby grants Reseller a license to reproduce the software as necessary to support such use, provided: (a) Reseller shall deploy the Software to no more than _____ Seats (as defined below); and (b) Reseller shall not use the Software to process more than ____ Transactions per day. (As used in the preceding sentence: a “Seat” is a client computer with remote access to the Software running on Customer’s server computer; and a “Transaction” is an individual ___________.)

Provider grants Customer a nonexclusive license, for __ years from the Effective Date: (a) to install the Software on computers of the types listed on Attachment __ (Platform Specifications); and (b) to reproduce the Software as necessary to exercise Customer’s rights in Subsection __(a) above and to create a reasonable number of backup copies.

Provider hereby grants Customer a perpetual, irrevocable, worldwide, nonexclusive, nontransferable, non-sublicensable, fully paid, royalty-free license to reproduce, use, and modify the Licensed Software.
