Business Continuity Plan

Provider shall maintain and comply with a reasonable written plan (the “BC Plan”) setting forth procedures for: (a) keeping the Service functioning during natural and man-made disasters and all other disruptions, including without limitation force majeure (as that term is used in Section __, Force Majeure) (collectively, a “Disruption”); and (b) restoring Service functionality promptly after a Disruption. Provider shall include in the BC Plan procedures no less protective than industry standard, and Provider shall update the BC Plan as the industry standard changes.

Provider shall comply with the Business Continuity Plan in Attachment __ (BC Plan). No failure of the System and no Provider obligation shall be excused pursuant to Section __ (Force Majeure) if the failure could have been avoided but for Provider’s breach of this Section __ or of any of Provider’s other obligations in this Agreement.
