Train with Tech Contracts Academy, and enhance your contracting skills. This September, we offer a Tech Contracts Master Class series and a webinar, Top 6 Mistakes in SaaS and Cloud Services Agreements. And later in the year, there’s another Master Class series, and more webinars. All taught by industry expert, author of The Tech Contracts Handbook, David Tollen.
Our classes are conveniently available via distance learning, with access to recordings afterward for a limited time. They benefit lawyers and businesspeople engaged in contracts involving technology, including contract managers. We are approved for CLE in California, and offer discount codes for teams and (for webinars only) individuals who sign up for multiple 2023 webinars. We hope to see you soon.
Taken together, our four Tech Contracts Master Classes will prepare you to negotiate contracts about software, cloud services, and professional services more confidently and efficiently, and help you avoid common pitfalls.
Our September series runs once weekly on Thursdays, from Sept. 7-28. Conveniently available via distance learning (with recordings available afterward on request, for a limited time), each class is two hours, and includes Q&A.
Most students choose to take all four classes (with an automatic series discount). (And there’s also a 10% discount available to company teams of 5 or more). But classes are also available to purchase individually.
Prime Clauses (Sept. 7): A contract’s central promise and transaction. The promise of cloud services; license to on-premise software; promise of professional services. Frequently, contracts have a combination. And … the promise to pay.
General Clauses (Sept. 14): Commercial clauses (such as technical specifications, SLAs, business continuity and disaster recovery, non-disclosure) and data clauses (including location, security, incidents, privacy, audits).
Key Liability Terms (Sept. 21): Warranties, indemnities, limits of liability, provider liability for 3rd parties, and liquidated damages.
End-Game & Special Clauses (Sept. 28): Term & termination; transition and deconversion; non-solicits and noncompetes; dispute management, mediation, arbitration, waiver of class actions, jury trials; ancillary IP terms; assignment, change of control, divestiture; choice of law and courts; order of precedence; amendment; open source software.
Small mistakes can cost a fortune in SaaS and other cloud computing contracts. This popular webinar will help you avoid the most typical errors, ranging from simple to subtle.
- Misunderstanding fundamental cloud computing concepts
- Confusing cloud/SaaS subscriptions with software licenses or professional services
- Focusing on data ownership instead of data control
- Losing a good deal over data breach indemnities
- Doing SaaS escrows wrong
